Refund Policy
Last updated: 1 November 2026
1. Purpose and scope
This Refund Policy (“Policy”) sets out how CODO AI Innovations (“CODO,” “we,” “us”) treats fees, advances, deposits, and cancellation in connection with professional services—including software development, design, branding, marketing, consulting, training, and related digital work—and, where applicable, commercial use of our website and digital properties (collectively, the “Services”).
This Policy forms part of our commercial baseline together with the Terms of Use. Where a signed statement of work, master services agreement, quotation expressly accepted in writing, or invoice terms (a “SOW”) conflicts with this Policy on fees or refunds, the SOW controls for that engagement. Nothing in this Policy limits rights that cannot be waived under applicable mandatory law.
2. Nature of our engagements
CODO provides bespoke professional services, not standardised consumer goods held in inventory. Capacity is reserved, specialists are assigned, tooling and environments are provisioned, and opportunity cost is incurred in reliance on Client commitment. For that reason, fees are structured as consideration for expertise, allocation, and delivery—not as provisional holdings subject to casual reversal.
3. When work has commenced
Unless a SOW defines a different trigger, work has commenced at the earliest of:
- Formal kick-off acknowledged in writing (including email or shared workspace access);
- Allocation of personnel, environments, or supplier capacity to the engagement after Client approval of scope and/or receipt of any required advance;
- Delivery of the first agreed milestone, sprint output, design iteration, research artefact, or other tangible output defined in the SOW or quotation.
4. Core rule — no refunds after commencement
Once work has commenced as described in Section 3, all fees invoiced and paid for that phase or engagement—including advances and deposits—are non-refundable.
CODO remains entitled to payment for work properly performed up to the effective date of any cancellation, together with non-cancellable third-party costs that Client approved or that were reasonably incurred in performing the Services.
Dissatisfaction with creative direction, change of internal priorities, budget reallocation, preference for an alternate vendor, or abandonment of the underlying business initiative does not, by itself, create a right to a refund after commencement.
5. Advances and deposits
We may require an advance or deposit (commonly up to fifty percent (50%) of the agreed fee or phase) before scheduling work or releasing production capacity. Where such an amount has been paid and work has commenced, that amount is non-refundable. It compensates planning, team allocation, tooling, and labour initiated in reliance on Client’s commitment. Any unpaid balance remains payable for delivered work and agreed future milestones unless the parties execute a written termination instrument stating otherwise.
6. Cancellation before commencement
If Client cancels in writing before work has commenced and before any non-refundable third-party spend, CODO may refund prepaid amounts net of documented setup or reservation costs already incurred, unless the SOW states a different retention. Administrative processing of any such adjustment is at CODO’s reasonable discretion and timeline.
7. Chargebacks and payment disputes
Initiating a card chargeback, payment dispute, or similar reversal for fees that are non-refundable under this Policy or a SOW, without first raising a good-faith written concern with CODO, may be treated as a material breach. We reserve the right to contest improper chargebacks and to recover related costs where permitted by law and agreement.
8. Quality, defects, and remedies
Where a SOW includes an express warranty or acceptance procedure, remedies for material non-conformance are limited to those stated in the SOW (for example, cure within a defined period). Absent such terms, Services are provided subject to the warranties and limitations in our Terms of Use. A request for rework or cure is not, without more, a request for a monetary refund.
9. Mandatory law
If applicable mandatory consumer or commercial law requires a refund or other remedy that cannot be excluded by contract, this Policy applies only to the maximum extent permitted. Nothing here is intended to exclude liability that cannot lawfully be limited.
10. Governing instruments
Questions of payment, cancellation, and refunds should be read with the applicable SOW and the Terms of Use. Capitalised terms not defined here have the meaning given in those documents where the context allows.
11. Contact
For refund or cancellation queries, write to info@codoai.in with your engagement reference, invoice number, and a clear statement of the request. We aim to acknowledge commercial correspondence within a reasonable business period.
